NotaryOSS, LLC Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and NotaryOSS, LLC, doing business as NotaryOSS ("NotaryOSS," "we," "our," or "us"). By creating an account, accessing, or using the platform, you agree to these Terms.

2. Service Description and Role Clarification

NotaryOSS is a software platform that provides business tools for notaries, including CRM, scheduling, accounting, an electronic notary journal feature for recordkeeping, and optional third-party integrations such as calendar sync and mapping/address tools.

NotaryOSS is software only. NotaryOSS does not perform, authorize, validate, supervise, or certify notarizations. NotaryOSS does not provide Remote Online Notarization (RON) services and is not a notary service provider, legal authority, or government agency.

3. User Responsibility for Legal Compliance

You are solely responsible for complying with all applicable laws, regulations, and official guidance in every jurisdiction where you act as a notary.

4. No Legal Advice, No Accuracy Guarantee, and No Compliance Guarantee

NotaryOSS does not provide legal advice. Any materials, workflows, templates, or feature prompts are informational only and do not replace advice from qualified counsel or official regulatory guidance.

NotaryOSS may use automated systems and artificial intelligence to support operational functions such as workflow assistance, suggestions, summaries, organization, and product improvements. These tools are for operational assistance only and do not constitute legal advice.

NotaryOSS does not provide tax, accounting, or bookkeeping advice. Reports, summaries, calculations, and dashboards are informational tools only and must be independently reviewed before filing, remittance, reporting, or other financial decisions.

NotaryOSS does not guarantee the accuracy, completeness, or fitness of any user-entered data, imported records, synced information, calculations, templates, reminders, address suggestions, maps results, exports, or generated outputs.

The PDF Sorter is a convenience tool and guidance aid only. It may occasionally classify, separate, stack, or sort pages incorrectly, and you are responsible for reviewing every sorted result before relying on it, printing it, sharing it, or using it in any signing, shipping, or business workflow.

NotaryOSS does not guarantee that use of the platform will satisfy the legal requirements of any jurisdiction.

5. Account Security and Access Responsibility

You are responsible for maintaining account confidentiality and security, including strong passwords, device security, access controls for your personnel, and proper use of optional security features such as multi-factor authentication and remembered devices.

You are responsible for all activities conducted through your account credentials. NotaryOSS is not liable for unauthorized access resulting from weak passwords, shared credentials, insecure devices, failure to revoke access from lost or shared devices, or other user-side negligence.

6. Data Ownership and License to Process

You retain ownership of your journal records and other data you submit to the platform. By using the service, you grant NotaryOSS a limited license to host, store, process, transmit, back up, and display your data solely to provide, secure, maintain, and improve the service.

For the PDF Sorter specifically, source PDFs you upload are intended for temporary processing rather than permanent document storage within NotaryOSS. Temporary output files may be created so you can view or download the sorted results, and those temporary files may be removed, replaced, or become unavailable during normal operation.

6A. eNotary Journal Privacy and Security

The NotaryOSS eNotary Journal is designed so each user's journal records remain private to that user's account and are protected by account-based access controls and other security measures used to operate the service.

Even so, no internet-based platform can guarantee absolute security or uninterrupted availability. You remain responsible for safeguarding your login credentials, devices, exported files, and your own compliance practices, and for reviewing your journal data for accuracy before relying on it.

7. Export and Data Portability

NotaryOSS may provide export functionality for journal and related records. You are solely responsible for how exported data is handled, transmitted, stored, shared, and used after export.

NotaryOSS is not liable for alteration, misuse, loss, disclosure, or non-compliant handling of exported files once they leave the platform.

7A. Third-Party Imports and Data Accuracy

NotaryOSS may provide import tools for data exported from third-party platforms, including NotaryGadget, NotaryAssist, and VenBooks. Import results depend on the structure, formatting, and completeness of third-party export files.

NotaryOSS does not guarantee continuous compatibility or availability of any third-party import source. Import behavior may change at any time if third-party providers modify their export formats, APIs, field mappings, access rules, or product features.

NotaryOSS is not responsible or liable for inaccurate, incomplete, outdated, duplicated, or missing information that originates from third-party exports. You are responsible for reviewing, reconciling, and verifying imported data after import, including before invoicing, tax filing, compliance submissions, client billing, or notarial recordkeeping.

NotaryOSS is not affiliated with or endorsed by NotaryGadget, NotaryAssist, or VenBooks.

NotaryGadget, NotaryAssist, and VenBooks are trademarks or service marks of their respective owners.

7B. Third-Party Integrations and Availability

NotaryOSS may offer optional integrations with third-party services such as Google Calendar, Google Maps, and address autocomplete providers. Your use of those features may also be subject to the third party's own terms, privacy policy, API limits, account rules, and availability.

NotaryOSS is not responsible for third-party outages, delayed sync, API restrictions, returned mapping or geocoding data, account suspensions, or provider-side changes that affect integration behavior.

8. Fees, Billing, and Subscription

Subscription fees are billed in U.S. dollars and may renew automatically unless cancelled. You authorize recurring charges to your selected payment method in accordance with your active plan.

If you cancel a monthly or multi-year plan after a billing cycle begins, the cancellation takes effect at the end of the then-current paid term. You will keep access to the service through that renewal date and time, and the subscription will simply stop renewing going forward.

Except where required by law or expressly approved by NotaryOSS within 48 hours of the original charge, fees are non-refundable and partial or prorated refunds are not provided for unused time, mid-cycle cancellation, or change of mind.

NotaryOSS may offer a free trial of the core platform. During that same trial window, eligible users may also enable the eNotary Journal at no extra charge. The Journal trial is tied to the same overall trial period and does not create a separate, longer trial unless we expressly state otherwise.

If you enable the eNotary Journal during a trial or paid term and later turn it off, that change generally affects future renewal billing only. Unless access is separately suspended for nonpayment, abuse, or a legal reason, you keep the Journal feature through the end of your current trial or already-paid access window.

NotaryOSS may also offer referral promotions. If a new user signs up through your referral link and later makes a first qualifying paid subscription purchase of at least $9.99, the referring account may receive a $2 promotional credit toward a future subscription charge. Referral credits are promotional only, are not redeemable for cash, may be reversed for refunds, chargebacks, abuse, fraud, or self-referrals, and may be changed or discontinued at any time.

9. Acceptable Use

You may not use NotaryOSS to violate law, infringe rights, upload malicious code, interfere with platform security, attempt unauthorized access, or misuse the service in ways that could harm users or the platform.

10. No Warranty

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NotaryOSS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uptime, and uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, NotaryOSS is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption.

NotaryOSS is not liable for improper notarizations, invalid notarial records, non-compliant journal practices, legal violations, regulatory actions, penalties, or losses arising from your acts, omissions, imported data, or legal obligations.

NotaryOSS's aggregate liability for all claims related to the service will not exceed the total fees you paid to NotaryOSS for the service during the 12 months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless NotaryOSS and its affiliates, officers, and personnel from claims, liabilities, damages, losses, and expenses arising from your use of the service, your notarial activities, your exported data handling, your legal non-compliance, or your breach of these Terms.

13. Suspension, Termination, and Data Handling

NotaryOSS may suspend or terminate access for violation of these Terms, legal risk, non-payment, security threats, or platform abuse.

If your account is closed or terminated, your access may end immediately. NotaryOSS may retain account and journal data for up to 30 days to support account recovery or operational processing, unless longer retention is required by law, subpoena, fraud prevention, dispute resolution, or security needs. After the applicable retention window, data may be deleted or anonymized in accordance with operational and legal requirements.

You are responsible for exporting data before account closure and for maintaining legally required records independent of platform access.

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted. Continued use of the service after an update means you accept the revised Terms.

15. Governing Law

These Terms are governed by the laws applicable in the state where NotaryOSS operates, without regard to conflict-of-law rules.
